Terms of Service — PreDate
Last updated: October 24, 2026
PreDate is operated by Predate Tech Inc., a Delaware corporation (“PreDate,” “we,” “us”). Questions: info@predate.me · Predate Tech Inc., c/o The Incorporators Ltd., 300 Creek View Rd, Suite 209, Newark, DE 19711
1. What PreDate is
PreDate is a dating-readiness program: an online course, a membership with tools and community, and Mirra, an AI coach. PreDate is coaching and education. It is not therapy, counseling, medical or mental-health care, or a dating or matchmaking service. We don’t introduce you to anyone and we don’t guarantee dates, matches, relationships, or any particular result — what you get is the work, the structure, and honest feedback. Your results depend on you.
2. Who can use PreDate
You must be 18 or older and able to form a binding contract to create an account or buy anything from us. By using PreDate you confirm that you are. Accounts are personal: one person, one account; don’t share logins or let anyone else use your account. You’re responsible for activity under your account and for keeping your password secure.
3. Your free account
Creating an account is free. A free account holds your quiz results, readiness score, and profile. Free features may change over time. The paid parts of PreDate are the Course and Membership, described next — a free account includes neither unless we say otherwise in writing (for example, a gift or comp membership).
4. The Course — $99, one time
The Course costs $99, charged once. It includes the full PreDate course and every future update to the course itself, for as long as we offer it. “Lifetime” in our materials refers to the Course only. The Course does not include Membership features (see §5) beyond the free month described in §6.
5. Membership — $12/month or $99/year, sold separately
Membership is a separate, auto-renewing subscription at $12 per month or $99 per year, your choice at checkout. Membership unlocks: Mirra (our AI coach), your Dating Plan, certification and badges, your public profile, and the member community. Course access and Membership are independent: cancelling Membership never removes your Course, and owning the Course does not keep Membership features active after a membership ends.
6. The free month, and how the trial converts — please read
When you buy the Course, you may opt in to one free month of full Membership. The free month is opt-in only: it starts only if you choose it at checkout, and it requires a payment card, which our payment processor stores securely.
- Your free month starts the day you check out and runs for one month.
- If you don’t cancel before the free month ends, Membership converts to the paid plan you selected at checkout — $12/month or $99/year — and your card will be charged on the day the free month ends, and on the same date each following month or year, until you cancel.
- We’ll email you a confirmation when you check out that restates these terms and how to cancel, and (for annual plans and trials over the thresholds the law sets) a reminder before a renewal deadline.
- Cancelling during the free month means no charge, ever. How to cancel: §8.
7. The 7-day refund
Within 7 days of your purchase, you can cancel everything and get a full refund of the $99 Course price: contact us or cancel in your account, and we’ll refund the Course charge to your original payment method, end the free-month trial, and remove Course access. Your account itself stays — it just returns to free. After day 7, Course purchases are not refundable. Membership charges that have already been billed (after a trial converts, or a renewal) are not refundable, but cancelling stops all future charges and your paid Membership runs until the end of the period you paid for.
8. Cancelling Membership
You can cancel Membership any time, yourself, in My Account → Subscription — no email, call, or exit interview required, and it takes effect immediately for future billing. If you signed up online, you can always cancel online. Cancelling during the free month prevents any charge. Deleting your account is different from cancelling (see §15) and does not by itself stop a subscription billed through a third party (for example, an app store), which must be cancelled with that third party.
9. Prices and changes
Prices are in US dollars. We may change Membership prices, but a change will never apply to a period you’ve already paid for, and we will not charge you a higher renewal price without first notifying you and giving you the chance to cancel before it takes effect (and, where the law requires, getting your consent). Course content may be updated, reorganized, or improved — updates are included in your purchase.
10. Payment
We accept the payment methods shown at checkout. Payments are processed by third-party processors (such as Stripe); we do not store your full card number. You authorize us (through our processor) to charge your saved payment method for the amounts described in these Terms. If a renewal charge fails, we may retry it and may pause Membership features until it succeeds; failed charges never create a debt beyond the current period.
11. Your writing and content — yours, with a narrow license to us
Your reflections, journal entries, quiz answers, and other writing in PreDate (“Your Content”) belong to you. You give us a license to use Your Content only to run and personalize PreDate for you: to store and display it back to you, to let Mirra read it and coach from it, and to generate your Growth Profile, readiness score, Dating Plan, and certificates. We may also use Your Content in de-identified, aggregated form to improve the program and for research. We will not publish or use your identifiable writing, name, or story in marketing or anywhere public without your separate written permission. Content you deliberately post to public or community areas (like a public profile or community post) is licensed to us to display it there as you directed. Don’t post content that is unlawful, harassing, or infringes someone else’s rights; we may remove content or suspend accounts that violate this section.
12. Mirra, our AI coach
Mirra is an artificial intelligence, not a person, and not a therapist, counselor, or medical professional. Mirra’s responses are generated by AI, are not reviewed by a licensed professional before you see them, and can be wrong. PreDate — including Mirra — is not a substitute for professional mental-health care, and is not for anyone in crisis. If you are in crisis or thinking about harming yourself, call or text 988 (US Suicide & Crisis Lifeline) or contact local emergency services. By using Mirra you understand she is an AI coaching tool within an education program, and you’ll use your own judgment about her suggestions — as with any coach, you decide what to act on.
13. Certification and badges
PreDate tiers (Verified, PreDater, Certified) and any badges or certificates are earned under the program’s published standards, are statements about completing PreDate’s program only, and are not licenses, credentials, or guarantees about any person. We may revoke a badge or certificate obtained by cheating, fraud, or conduct that violates these Terms. Badges may be displayed by the member who earned them; don’t use PreDate badges in a way that implies we endorse you or your services.
14. Acceptable use
Don’t: misuse the service or its content (no copying/reselling course materials), harass other members, misrepresent your identity or certification status, attempt to access other members’ accounts or private writing, or use PreDate to violate any law. We may suspend or terminate accounts that break these rules.
15. Ending your account
You may close your account any time from My Account or by emailing us. Closing your account ends access to Membership features and, after a short retention window described in the Privacy Policy, deletes your content, subject to records we must keep (such as payment records). Sections of these Terms that by nature survive (payment obligations already incurred, §§11–13 as they apply to prior use, 16–18) survive closure.
16. Warranty disclaimer
PREDATE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONTENT OR AI OUTPUT IS ACCURATE OR COMPLETE. NO ADVICE FROM PREDATE OR MIRRA CREATES A WARRANTY OR A PROFESSIONAL RELATIONSHIP OF ANY KIND.
17. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, PREDATE AND ITS FOUNDERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM YOUR USE OF (OR INABILITY TO USE) PREDATE, FROM DECISIONS YOU MAKE BASED ON THE COURSE, COACHING, OR MIRRA, OR FROM YOUR INTERACTIONS WITH OTHER MEMBERS OR THIRD PARTIES. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF $100 OR THE TOTAL YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Some states don’t allow some of these limits; where they don’t, our liability is limited to the greatest extent the law permits. Nothing here limits liability that cannot legally be limited.
18. Indemnification
You agree to indemnify and hold harmless PreDate and its founders, employees, and contractors from third-party claims, damages, and reasonable attorneys’ fees arising from your misuse of the service, your content, or your violation of these Terms or any law.
19. Disputes — informal first, then arbitration; New York law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
Talk first. If we have a dispute, contact us at info@predate.me with a short description. Both sides agree to try in good faith to resolve it informally for 30 days before starting arbitration or a court case (small-claims and IP-protection actions excepted).
Arbitration. Except for the carve-outs below, disputes arising from these Terms or your use of PreDate will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in New York, New York, with hearings by video or in the county where you live where the AAA rules so provide. The arbitrator — not a court — decides the dispute, and judgment on the award may be entered in any competent court. The Federal Arbitration Act governs this section.
Carve-outs. Either side may bring an individual claim in small claims court, and either side may go to court for claims about intellectual property or unauthorized access.
CLASS-ACTION WAIVER. YOU AND PREDATE AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY. NO CLASS ACTIONS, CLASS ARBITRATIONS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDINGS ARE PERMITTED, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS. If this waiver is found unenforceable as to a claim, that claim must be brought in court and the arbitration section does not apply to it.
Opt-out. You may opt out of arbitration within 30 days of creating your account or first purchase (whichever is earlier) by emailing info@predate.me with “Arbitration Opt-Out” and your account email. Opting out doesn’t affect anything else in these Terms.
Courts. For any dispute not subject to arbitration, the exclusive venue is the state and federal courts located in New York, and both sides consent to personal jurisdiction there.
20. Changes to these Terms
We may update these Terms. If a change is material (price mechanics, renewal, dispute terms), we’ll notify you by email or in the service before it takes effect; continued use after the effective date means you accept the updated Terms. Changes never retroactively change the price or refund rights of a purchase already made.
21. The rest
These Terms (with the Privacy Policy and Coaching Disclaimer) are the whole agreement between you and PreDate about the service. If a section is found unenforceable, the rest stands, and the offending section will be read as narrowly as needed to be enforceable (except §19’s class waiver, governed by its own sentence). You may not assign your account or these Terms; we may assign them in connection with a sale or reorganization of the business.
